IO World Media Announces Consensus on Terms of a Share Exchange Agreement to Acquire, “Up Your Ratings”


IO World Media (“IOWorld” or “the Company”) (OTCQB: IWDM) announces that it has agreed to terms of a Share Exchange Agreement to acquire “Up Your Ratings” (UYR) in a stock-for-stock transaction. Execution of the finalized Share Exchange Agreement and closing of the transaction is scheduled to be on or before September 30, 2011. UYR, which is owned by Randy Michaels and Marc Chase, is a private company with unique intellectual property that has been developed by Mr. Michaels and his team. UYR’s pure play recommendation system (ScenarIO) is designed to deliver a one-to-one, vs. a one-to-many, consumer preference based custom audio product that is specific to the users tastes, locations, moods or activities thus creating a unique audio experience to fit their “ScenarIO”. Also included in the UYR IP are design plans for a proprietary state of the art audio storage, retrieval, and distribution system that eliminates the need for a Content Distribution Network.

In addition, both Mr. Michaels and Mr. Chase will be Strategic Advisors to the Company. Their participation as advisors to the leadership team with their unique, distinctive, market leading perspective and their vast industry knowledge, experience and contacts is potentially the most significant asset of the transaction.

So they're going to save RadioIO by buying a homegrown Pandora Radio and a new distribution system? I was expecting a lot more regarding this announcement, like an influx of CASH.

So they're going to save RadioIO by buying a homegrown Pandora Radio and a new distribution system? I was expecting a lot more regarding this announcement, like an influx of CASH.

I was expecting to hear some new investors or an agreement with someone to stream IO as their in-house music or something.

Yeah, this news in and of itself doesn't excite me much. A lot of good new technology is going to be if they don't have $$$ to run things.

The investors will come in time. And io4Business has a few high profile clients as it is. This is really just the beginning of things it looks like.

Isnt going to happen as they would need new players so all the smart phones could still listen. Could you imagine an EE who can listen today not be able to listen on his phone next week because there is no secure app for it?

This should have been done before they launched Bubba Army Radio.

This should have been done before they launched Bubba Army Radio.

The need for new smartphone clients or re-authentication to a more secure server-side solution will not be an insurmountable task. They have to do this, and I'm certain they will moving forward.

IWDM seems like the place where good ideas come to die... i don't think it's an outright scam like many haters have claimed over the last year or so, but i do think it's a bunch of networked good ol boys taking full advantage of the situation and using these little startups and quasi/companies as their own personal ATM machines. after all, tom bean ain't just an agent... he's a SUPER agent, you know =D

my brother dropped the trey, and he doesn't have any sort of anger or beef with the big man for this whole fiasco... he still sees it like his $300 was spent getting "in the club" like when we got the invite to the exclusive bubba meet-n-greet up in milwaukee back over the summer when tizzy was doing his racing thing up there. he sees all of this other stuff as hopefully-entertaining drama, so he's got his status up there in the rank-n-file of the army and he's never been pissed that the stream has never been secure....

tho in fairness, we both do wonder why he still subscribes to bubba raw. ah well, every day that passes is another day that we're closer to the next BUBBA SAW!!!@#@ YEEEEHAW!!!
